SOFTWARE END-USER LICENCE AGREEMENT

This end-user licence agreement (EULA) is a legal agreement between you (End-user or you) and Omron Healthcare Singapore Pte Ltd, 438A Alexandra Road #05-05/08, Alexandra Technopark, Singapore 119967 (Licensor, us or we) for the use of the OMRON connect software (Software) that is downloaded, installed and/or used in Indonesia.

We license use of the Software to you on the basis of this EULA and subject to any rules or policies applied by any app store provider, such as but not limited to the Apple App Store or the Google Play Store (Third Party Rules). We do not sell the Software to you. We remain the owners of the Software at all times.

By clicking the "Accept" button below YOU AGREE to the terms of this EULA which will bind you. The terms of this EULA include, in particular, a disclaimer clarifying that the Software does not provide medical advice (section 1.4) and limitations of liability (section 6). In addition, by clicking the “Accept” button below and/or by using our Software, you represent and warrant that you have the requisite capacity and competence to enter into and perform your obligations and the terms of/under this EULA.

If you do NOT AGREE to the terms of this EULA, we will not license the Software to you and you should stop the downloading process now by clicking on the "Do not agree" button below. In this case the downloading process will terminate.

AGREED TERMS

  1. ACKNOWLEDGEMENTS

    1. The terms of this EULA apply to the Software, including any updates or supplements thereto, unless such updates or supplements come with separate terms, in which case those terms apply.
    2. We may change the terms of this EULA at any time by notifying you of a change when you next start or use the Software. The new terms may be displayed on-screen and you may be required to read and accept them to continue your use of the Software.
    3. From time to time updates to the Software may be issued through the app store provider. Depending on the update, you may not be able to use the Software until you have downloaded or streamed the latest version of the Software and accepted any new terms. However, even if the Software is outdated, we are under no obligation to update the Software.
    4. YOU UNDERSTAND THAT THE SOFTWARE IS PROVIDED „AS IS‟ AND THAT IT IS NOT INTENDED TO AMOUNT TO ANY ADVICE, INCLUDING BUT NOT LIMITED TO MEDICAL ADVICE, OR FOR DIAGNOSTIC PURPOSES ON WHICH RELIANCE SHOULD BE PLACED. WE ARE NOT A MEDICAL CARE PROVIDER AND DO NOT PROVIDE MEDICAL ADVICE. THE SOFTWARE IS NOT INTENDED TO BE RELIED UPON IN LIEU OF MEDICAL TREATMENT OR ADVICE BY A TRAINED MEDICAL CARE PROVIDER. ALWAYS CONSULT YOUR DOCTOR OR OTHER HEALTHCARE PROFESSIONAL WITH ANY QUESTIONS REGARDING ANY MEDICAL CONDITION, OR FOR SPECIFIC GUIDANCE REGARDING NUTRITION OR PHYSICAL ACTIVITY.
    5. The Software may contain links to or provide a connectivity functionality with other independent third-party websites or mobile device applications (Third-party Sites). These Third-party Sites are not under our control, and we are not responsible for and do not endorse their content, their data privacy governance and/or their privacy policies (if any). You will need to make your own independent judgement regarding your interaction with any Third-party Sites, including the purchase and use of any products or services accessible through them.
    6. Any words following the terms including, include, in particular or for example or any similar phrase shall be construed as illustrative and shall not limit the generality of the related general words.
  2. GRANT AND SCOPE OF LICENCE

    1. In consideration of you agreeing to abide by the terms of this EULA, we grant you a non-transferable, non-exclusive licence to use the Software on your smartphone(s) or tablet(s) (Devices), subject to these terms and the Third Party Rules, incorporated into this EULA by reference. To the extent of any inconsistency between the terms of this EULA and the Third Party Rules, the terms of this EULA shall prevail. We reserve all other rights.
    2. You may download a copy of the Software onto your Devices and to view, use and display the Software on the Devices for your personal purposes only.
    3. Non-personal or anonymous data may be collected automatically to improve functionality of the Software. You agree that any non-personal or anonymous data collected may be sent to other parties for processing.
  3. LICENCE RESTRICTIONS

    Except as expressly set out in this EULA or as permitted by any local law, you agree:
    1. not to copy the Software except where such copying is incidental to normal use of the Software, or where it is necessary for the purpose of back-up or operational security;
    2. not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Software;
    3. not to make alterations to, or modifications of, the whole or any part of the Software, or permit the Software or any part of it to be combined with, or become incorporated in, any other programs;
    4. not to disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Software or attempt to do any such thing except to the extent that such actions cannot be prohibited under local law, if applicable, provided that the information obtained by you during such activities:
      1. is not unnecessarily disclosed or communicated without our prior written consent to any third party; and
      2. is not used to create any software that is substantially similar to the Software.
  4. ACCEPTABLE USE RESTRICTIONS

    You must:
    1. not use the Software in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this EULA, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, including viruses, or harmful data, into the Software or any operating system;
    2. not infringe our intellectual property rights or those of any third party in relation to your use of the Software (to the extent that such use is not licensed by this EULA);
    3. not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the Software; and
    4. not use the Software in a way that could interfere with other users or damage, disable, overburden, impair or compromise our systems or security or those of any third party in relation to the Software.
  5. INTELLECTUAL PROPERTY RIGHTS

    1. You acknowledge that all intellectual property rights in the Software anywhere in the world belong to us or our licensors, that rights in the Software are licensed (not sold) to you, and that you have no rights in, or to, the Software other than the right to use the Software in accordance with the terms of this EULA.
    2. You acknowledge that you have no right to have access to the Software in sourcecode form.
    3. You will not challenge the validity of any of our intellectual property rights licensed pursuant to this EULA, or oppose any application for the registration of such intellectual property rights.
    4. If you suggest any new features or functionality that we, in our sole discretion, adopt into the Software, such new features or functionality will be the sole and exclusive property of the Licensor and any and all claims of the End-user as to the same are hereby waived and released.
  6. LIMITATION OF LIABILITY AND INDEMNIFICATION

    1. You acknowledge that the Software has not been developed to meet your individual requirements, and that it is therefore your responsibility to ensure that the facilities and functions of the Software meet your requirements. You agree that you use the Software at your own risk.
    2. We only supply the Software for domestic and private use. You agree not to use the Software for any commercial, business or reselling purposes.
    3. Use of and access to the Software is permitted on a temporary basis, and we reserve the right to withdraw or amend the Software without notice. From time to time, we may restrict access to some parts of the Software or to the entire Software, or to users who have registered with us. We will not be liable if for any reason the Software is unavailable at any time or for any period.
    4. TO THE EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED WITHOUT ANY GUARANTEES, CONDITIONS OR WARRANTIES AS TO ITS ACCURACY, PERFORMANCE OR UNINTERRUPTED SERVICE. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY THE SOFTWARE, A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR DEVICES, COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SOFTWARE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT. FURTHERMORE, TO THE EXTENT PERMITTED BY LAW, WE, OTHER MEMBERS OF OUR GROUP OF COMPANIES AND THIRD PARTIES CONNECTED TO US HEREBY EXPRESSLY EXCLUDE:
      1. ALL GUARANTEES, CONDITIONS, WARRANTIES AND OTHER TERMS WHICH MIGHT OTHERWISE BE IMPLIED;
      2. ANY LIABILITY FOR ANY DIRECT, INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE INCURRED BY ANY USER IN CONNECTION WITH THE SOFTWARE OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR RESULTS OF THE USE OF THE SOFTWARE AND ANY MATERIALS POSTED ON IT, INCLUDING BUT NOT LIMITED TO:
        1. LOSS OF INCOME OR REVENUE;
        2. LOSS OF BUSINESS;
        3. BUSINESS INTERRUPTION;
        4. LOSS OF BUSINESS OPPORTUNITY;
        5. LOSS OF PROFIT OR CONTRACTS;
        6. LOSS OF ANTICIPATED SAVINGS;
        7. LOSS OF DATA;
        8. LOSS OF GOODWILL;
        9. WASTED MANAGEMENT OR OFFICE TIME;
        10. INJURY OR DEATH,
        WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
    5. In the event that this EULA involves a supply of goods or services to a consumer as defined in the Indonesian Consumer Law (ICL), nothing contained in this EULA purports to exclude, restrict or modify any condition, guarantee, warranty or other obligation which is applicable to or is conferred on the Licensor pursuant to the ICL, where to exclude, restrict or modify any such condition, warranty or other obligation is unlawful.
    6. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD THE LICENSOR HARMLESS FROM ANY LIABILITY, LOSS, CLAIM AND EXPENSE, INCLUDING REASONABLE ATTORNEY‟S FEES AND EXPENSES, RELATED TO YOUR BREACH OF THIS EULA OR YOUR USE OF THE SOFTWARE.
  7. TERMINATION

    1. We may terminate this EULA immediately and without incurring any liability by written notice to you:
      1. if you commit a material or persistent breach of this EULA which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so;
      2. if you breach any of the Licence Restrictions (section 3) or the Acceptable Use Restrictions (section 4); and
      3. if we decide in our sole discretion to no longer support the Software and discontinue the Software indefinitely.
    2. On termination for any reason:
      1. all rights granted to you under this EULA shall cease;
      2. you must immediately cease all activities authorised by this EULA, including your use of the Software;
      3. you must immediately delete or remove the Software from all Devices, and immediately destroy all copies of the Software then in your possession, custody or control and certify to us that you have done so;
      4. and, thereafter, you remain bound by the sections that by their nature or intended character can survive expiration or termination of this EULA, such as, but not limited to, sections 1, 5, 6, 10 and this section.
  8. COMMUNICATION BETWEEN US

    If you have any concerns about the Software, or if you have any questions, comments or requests regarding this EULA, or if any condition in this EULA requires you to give us notice in writing, then please contact us by e-mail at: ohs_feedback@ap.omron.com or by regular mail to: Omron Healthcare Singapore Pte Ltd, 438A Alexandra Road #05-05/08, Alexandra Technopark, Singapore 119967. We will confirm receipt of this by contacting you in writing, normally by e-mail. You acknowledge and consent that your questions or comments including your personal information provided by you may be disclosed to our affiliated companies outside Indonesia or Singapore, including our ultimate holding company and its subsidiaries for the purpose of responding to the questions or comment or storing such information in our servers in Japan or other countries.

  9. EVENTS OUTSIDE OUR CONTROL

    1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this EULA that is caused by any act or event beyond our reasonable control, including failure of public or private telecommunications networks (Event Outside Our Control).
    2. If an Event Outside Our Control takes place that affects the performance of our obligations under this EULA:
      1. our obligations under this EULA will be suspended and the time for performance of our obligations will be extended for a period equal to the duration of the Event Outside Our Control; and
      2. we will use our reasonable endeavours to find a solution by which our obligations under this EULA may be performed despite the Event Outside Our Control.
  10. OTHER IMPORTANT TERMS

    1. You acknowledge and consent that we may collect anonymous data such as your access history, operation history within the Software, search history, IP address, dates, reference/exit pages and any other information about your use of the Software (User History Information), and that we may use third-party analytical services to analyse User History Information for the purpose of improving the Software or others. Information recorded using such analytical services will not contain personally identifiable information.
    2. We may transfer our rights and obligations under this EULA to another organisation, but this will not affect your rights or your obligations under this EULA.
    3. You may only transfer your rights or obligations under this EULA to another person if we agree in writing.
    4. If we fail to insist that you perform any of your obligations under this EULA, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
    5. Each of the conditions of this EULA operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
    6. This EULA, its subject matter and its formation, are governed by the laws of Singapore.
    7. Without prejudice to any right of the parties hereto to apply to any competent court for injunctive relief, any dispute arising out of or in connection with this EULA, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The tribunal shall consist of one arbitrator to be appointed by the chairman of the SIAC. The language of the arbitration shall be English.
    8. Notwithstanding anything in this Agreement, the parties hereto acknowledge and agree that they shall have the right at any time to apply to any competent court for interim injunctive relief in relation to any dispute arising out of or in connection with this EULA.
    9. This EULA is the complete and exclusive statement of agreement between the licensor and you concerning the subject matter hereof which supersedes any prior agreements, oral or written, or any other communications relating to the subject matter of this EULA. No amendment of this EULA shall be effective unless it is in writing and signed by the licensor.
    10. This EULA is executed in the English language and Bahasa Indonesia language. You agree that the Bahasa Indonesia language version/translation of this EULA is made solely for compliance with Indonesian Law No. 24 of 2009 concerning National Flag, Language, Emblem and Anthem, and shall be used for reference only between you and us. You further agree that the English language version of this EULA shall be controlling for all purposes (including, for the avoidance of doubt, where there are inconsistencies between the English language version and the Bahasa Indonesia language version/translation).

Persyaratan Penggunaan Cloud OMRON connect

Persyaratan penggunaan (Persyaratan) ini merupakan suatu perjanjian hukum yang mengikat antara Anda (Pengguna akhir atau Anda) dan Omron Healthcare Singapore Pte Ltd (Perusahaan, kami atau kita) berkaitan dengan penggunaan layanan Cloud OMRON connect. Selain daripada Persyaratan ini, penggunaan Layanan oleh Anda (sebagaimana didefinisikan dalam pasal 1 di bawah ini) juga tunduk pada Perjanjian Lisensi Pengguna Akhir (End-User License Agreement (EULA)) perangkat lunak OMRON connect (tersedia di: http://www.omronconnect.com/eula/).

Penggunaan Layanan oleh Anda tunduk pada kepatuhan pada Persyaratan ini serta persyaratan atau kebijakan lainnya yang telah ditetapkan oleh penyedia app store (termasuk namun tidak terbatas pada, Apple App Store dan Google Play).

Penting bagi Anda untuk membaca dan memahami Persyaratan ini sebelum mengklik tombol “Saya Setuju”. Dengan mengklik tombol “Saya Setuju” di bawah ini, Anda menyetujui syarat dan ketentuan yang tercantum dalam Persyaratan ini dan menjadi terikat olehnya berdasarkan penggunaan Layanan oleh Anda. Jika Anda tidak menyetujui Persyaratan ini, klik tombol “Saya Tidak Setuju” di bawah dan segera hentikan penggunaan Layanan ini.

  1. DEFINISI

    1. “Informasi Akun” berarti ID login, token untuk melakukan otentikasi ID, alamat surel, kata sandi, dan setiap informasi lain yang berkaitan dengan akun Anda yang telah Anda atur untuk menggunakan Layanan.
    2. “Aplikasi” berarti OMRON Connect, yaitu suatu aplikasi yang disediakan oleh kami atau anggota dari grup perusahaan kami.
    3. “Informasi Atribut” berarti tanggal lahir, usia, jenis kelamin, tinggi badan, berat badan, dan informasi atribut lainnya yang Anda berikan.
    4. “Cookie” mengacu pada informasi identifikasi yang dikirimkan dari server web saat browser mengakses situs web, dan dikirimkan dari browser ke server ketika melakukan akses di masa mendatang.
    5. “Informasi Pengguna” secara kolektif mengacu pada Informasi Atribut, Informasi Perangkat Terdaftar, Data Vital, dan Informasi Akun, serta informasi lainnya yang Anda berikan sehubungan dengan Layanan.
    6. “Perangkat” berarti ponsel pintar atau tablet.
    7. “Informasi Perujuk” mengacu pada informasi URL dari situs web yang langsung Anda akses sebelumnya, di mana informasi tersebut dikirimkan oleh browser.
    8. “Informasi Perangkat Terdaftar” berarti: (i) informasi mengenai perangkat perawatan kesehatan, di mana Data Vital dikirimkan ke Aplikasi; atau (ii) informasi yang dimasukkan ke dalam perangkat tersebut.
    9. “Layanan” berarti layanan Cloud OMRON connect, yang memungkinkan pengguna, dengan menggunakan Aplikasi, menyimpan Informasi Pelanggan yang terdapat pada Perangkat (selain kata sandi) ke server yang dikelola oleh kami atau penyedia layanan kami, dan untuk mengakses Informasi Pelanggan dari jarak jauh dengan menggunakan Perangkat pengguna.
    10. “Data yang Tersimpan di Server” berarti bagian dari Informasi Pelanggan seperti yang disimpan di server dan dikelola oleh kami atau penyedia layanan kami.
    11. “Data Vital” berarti tekanan darah, berat badan, kadar gula darah, dan data  pengukuran lainnya yang diukur dengan menggunakan perangkat perawatan kesehatan yang disebutkan dalam paragraf sebelumnya.
  2. PENGAKUAN

    1. Persyaratan ini, termasuk setiap modifikasi dan/atau amandemennya dalam bentuk apa pun, menetapkan syarat dan ketentuan penggunaan Layanan serta mengatur semua aktivitas sehubungan dengan penggunaan Layanan oleh Anda.
    2. Kami dapat mengamandemen Persyaratan ini setiap saat dengan memberitahukan tentang amandemen tersebut kepada Anda. Persyaratan yang telah diamandemen akan ditampilkan ketika Anda kembali menggunakan Aplikasi ini, kemudian untuk melanjutkan penggunaan Layanan terkait Anda mungkin akan diminta untuk membaca dan menyetujuinya.
    3. Anda bertanggung jawab untuk menyediakan Perangkat Anda sendiri, mengunduh dan menginstal Aplikasi serta menggunakan layanan tambahan terkait (seperti koneksi internet) dengan biaya Anda sendiri. Penggunaan Layanan oleh Anda memerlukan pengiriman data (termasuk Informasi Riwayat Pengguna), yang mungkin menimbulkan biaya komunikasi dari internet atau penyedia layanan seluler Anda.
  3. KEPEMILIKAN AKUN

    1. Satu orang hanya boleh memiliki satu akun. Akun tidak boleh dibagikan atau digunakan oleh lebih dari satu orang.
    2. Jika kami memutuskan berdasarkan pertimbangan kami bahwa Anda telah melanggar, atau kemungkinan besar melanggar, Persyaratan ini, kami berhak untuk menangguhkan penggunaan Layanan oleh Anda atau menghapus akun Anda tanpa pemberitahuan sebelumnya.
    3. Kami berhak, tanpa pemberitahuan sebelumnya, menghapus akun Anda jika akun tersebut tidak digunakan selama lebih dari satu tahun.
    4. Hak Anda untuk menggunakan Layanan (termasuk hak untuk melihat Data yang Tersimpan di Server) akan berakhir pada saat akun Anda dihapus karena alasan apa pun. Jika akun Anda dihapus (termasuk jika Anda secara tidak sengaja menghapus akun Anda sendiri), kami tidak dapat memulihkan akun yang terhapus tersebut, termasuk semua informasi di dalamnya.
    5. Hak Anda berdasarkan Persyaratan ini (termasuk hak untuk menggunakan akun) tidak boleh diberikan, dipindahtangankan, disewakan, atau diwariskan kepada pihak ketiga mana pun. Setiap pelanggaran yang dilakukan atau yang dicurigai telah dilakukan terhadap pasal ini dapat mengakibatkan penangguhan penggunaan Layanan oleh Anda atau penghapusan akun Anda tanpa pemberitahuan sebelumnya.
  4. TANGGUNG JAWAB UNTUK MENGELOLA AKUN DAN KATA SANDI

    1. Anda tidak boleh membagikan kata sandi akun Anda kepada orang lain. Anda bertanggung jawab penuh terhadap penggunaan dan pengelolaan akun dan kata sandi Anda.
    2. Kami tidak bertanggung jawab atas kerugian atau kerusakan yang terjadi akibat penggunaan akun Anda yang tidak sah yang diakibatkan oleh pelanggaran terhadap Persyaratan ini.
    3. Jika Anda mengetahui bahwa akun atau kata sandi Anda mungkin telah dicuri atau digunakan oleh pihak ketiga tanpa izin Anda, maka Anda wajib untuk segera memberi tahu kami dan mengikuti instruksi kami terkait dengan akun Anda.
    4. Jika Anda lupa kata sandi, Anda wajib untuk memberi tahu kami dan mengikuti instruksi kami untuk memulihkan atau mengatur ulang kata sandi.
  5. PENANGGUHAN DAN PENGHENTIAN LAYANAN

    1. Kami berhak menangguhkan atau menghentikan semua atau sebagian dari Layanan jika kami menganggap bahwa telah terjadi salah satu peristiwa berikut ini:
      1. jika kami tidak dapat menyediakan Layanan karena adanya kegagalan perangkat telekomunikasi, bencana alam, insiden atau keadaan darurat lainnya, atau peristiwa keadaan kahar lainnya;
      2. jika kami harus melakukan pekerjaan pemeliharaan atau konstruksi atau tindakan serupa lainnya sehubungan dengan server atau peralatan atau perangkat lain yang terkait dengan penyediaan Layanan;
      3. jika ada kerusakan atau kegagalan yang terjadi pada server atau perangkat lain atau peralatan yang digunakan dalam penyediaan Layanan; atau
      4. jika kami perlu menangguhkan penyediaan semua atau sebagian dari Layanan karena alasan operasional atau teknis.
  6. PENGECUALIAN TANGGUNG JAWAB

    1. Sejauh diizinkan oleh peraturan undang-undang yang berlaku, kami mengecualikan semua kewajiban atas kerugian atau kerusakan yang mungkin timbul sebagai akibat dari atau sehubungan dengan:
      1. (a) penangguhan atau penghentian Layanan oleh kami sesuai dengan Persyaratan ini; dan
      2. setiap ketidakmampuan untuk mengakses atau menggunakan semua atau sebagian dari Data yang Tersimpan di Server karena kondisi komunikasi Perangkat Anda, karena ada bug yang terdapat dalam Aplikasi atau Layanan, atau karena penyebab lainnya; dan
      3. hilangnya Informasi Pelanggan yang mungkin terjadi sehubungan dengan penggunaan Layanan oleh Anda. Kami berhak mereproduksi Data yang Tersimpan di Server selama hal tersebut diperlukan untuk kegiatan pemeliharaan atau peningkatan Layanan; dan
      4. penghapusan semua atau sebagian dari Data yang Tersimpan di Server yang dilakukan sesuai dengan Persyaratan ini; dan

    2. SEJAUH DIIZINKAN OLEH UNDANG-UNDANG YANG BERLAKU, LAYANAN INI DISEDIAKAN TANPA JAMINAN, KETENTUAN ATAU GARANSI ATAS KEAKURATAN, KINERJA ATAU LAYANANNYA YANG BEBAS DARI GANGGUAN. KAMI TIDAK BERTANGGUNG JAWAB ATAS KERUGIAN ATAU KERUSAKAN AKIBAT LAYANAN, SERANGAN PENOLAKAN LAYANAN TERDISTRIBUSI (DISTRIBUTED DENIAL-OF-SERVICE ATTACK (DDOS)), VIRUS ATAU MATERIAL YANG SECARA TEKNOLOGI DIANGGAP BERBAHAYA YANG MUNGKIN MENGINFEKSI PERANGKAT, PERALATAN KOMPUTER, PROGRAM KOMPUTER, DATA ANDA ATAU MATERIAL KEPEMILIKAN LAINNYA KARENA ANDA MENGGUNAKAN LAYANAN ATAU MENGUNDUH MATERIAL YANG TERDAPAT DI DALAMNYA, ATAU MENGUNJUNGI SITUS WEB YANG DITAUTKAN DENGANNYA. SELANJUTNYA, SEJAUH DIIZINKAN OLEH UNDANG-UNDANG YANG BERLAKU, KAMI, ANGGOTA LAIN DARI KELOMPOK PERUSAHAAN KAMI, DAN PIHAK KETIGA YANG TERHUBUNG DENGAN KAMI, DENGAN INI SECARA TEGAS MENGECUALIKAN:
      1. SEMUA JAMINAN, KONDISI, GARANSI, DAN KETENTUAN LAIN YANG MUNGKIN TERSIRAT;
      2. SETIAP TANGGUNG JAWAB YANG TIMBUL AKIBAT KERUGIAN ATAU KERUSAKAN YANG BERSIFAT LANGSUNG, TIDAK LANGSUNG ATAU YANG DIAKIBATKAN OLEH PENGGUNA SEHUBUNGAN DENGAN LAYANAN ATAU TERKAIT DENGAN PENGGUNAAN, KETIDAKMAMPUAN UNTUK MENGGUNAKAN, ATAU AKIBAT DARI PENGGUNAAN LAYANAN DAN MATERI YANG TERDAPAT DI DALAMNYA, TERMASUK NAMUN TIDAK TERBATAS PADA:
        1. HILANGNYA PENGHASILAN ATAU PENDAPATAN;
        2. KERUGIAN BISNIS;
        3. TERGANGGUNYA KELANGSUNGAN BISNIS;
        4. HILANGNYA PELUANG BISNIS;
        5. HILANGNYA LABA ATAU KONTRAK;
        6. HILANGNYA SIMPANAN YANG DIHARAPKAN;
        7. HILANGNYA DATA;
        8. HILANGNYA REPUTASI BAIK;
        9. TERBUANGNYA WAKTU MANAJEMEN ATAU KANTOR;
        10. CEDERA ATAU KEMATIAN,
        BAIK YANG DIAKIBATKAN OLEH KESALAHAN (TERMASUK KELALAIAN), PELANGGARAN KONTRAK ATAU HAL LAINNYA, MESKIPUN HAL TERSEBUT DAPAT DIPREDIKSI SEBELUMNYA
    3. Jika penggunaan Layanan melibatkan penyediaan barang atau jasa kepada konsumen sebagaimana ditentukan dalam undang-undang Republik Indonesia yang berlaku, tidak ada ketentuan dalam Persyaratan ini yang dimaksudkan untuk mengecualikan, membatasi, atau memodifikasi persyaratan, garansi, jaminan atau kewajiban lainnya yang berlaku atau diberikan kepada Perusahaan sesuai dengan undang-undang tersebut, di mana pengecualian, pembatasan atau modifikasi persyaratan, jaminan atau kewajiban lainnya merupakan pelanggaran hukum, dalam hal ini, tanggung jawab Perusahaan (berdasarkan pertimbangannya sendiri) hanya terbatas pada kewajiban untuk kembali menyediakan Layanan atau membayar biaya untuk mengadakan Layanan kembali.
    4. ANDA SETUJU UNTUK MEMBEBASKAN, MEMBELA, DAN MELEPASKAN KAMI DAN ANGGOTA GRUP PERUSAHAAN KAMI DARI SETIAP TANGGUNG JAWAB, KERUGIAN, KLAIM, DAN PENGELUARAN, TERMASUK BIAYA PENGACARA YANG WAJAR, TERKAIT DENGAN PELANGGARAN ANDA TERHADAP PERSYARATAN INI, EULA, ATAU PENGGUNAAN LAYANAN OLEH ANDA.
  7. PENGHAPUSAN DATA YANG TERSIMPAN DI SERVER

    1. Kami dapat menghapus semua atau sebagian dari Data yang Tersimpan di Server jika salah satu peristiwa berikut ini terjadi:
      1. jika Anda melanggar salah satu ketentuan dari Persyaratan ini atau EULA;
      2. jika Layanan dihentikan sesuai dengan ketentuan pasal 5.1;
      3. jika Anda tidak menggunakan Layanan selama satu tahun.
    2. Anda bertanggung jawab untuk memback-up data Anda secara berkala untuk menghindari insiden kehilangan data.
  8. PERLINDUNGAN DATA

    Saat kami menyediakan Layanan sesuai dengan Persyaratan ini, kami dapat mengumpulkan dan menyimpan data pribadi Anda sesuai dengan PERNYATAAN PRIVASI OMRON CONNECT, yang merupakan bagian yang tak terpisahkan dari Persyaratan ini.

  9. BAHASA

    Persyaratan ini dibuat dalam Bahasa Inggris dan Bahasa Indonesia. Anda dengan ini menyetujui bahwa versi Bahasa Inggris dari Persyaratan ini adalah yang akan dianggap berlaku sehubungan dengan semua maksud dan tujuan dari dokumen ini (termasuk, untuk menghindari keraguan, apabila terdapat inkonsistensi antara versi Bahasa Inggris dan Bahasa Indonesia/terjemahan)

  10. HUKUM YANG BERLAKU DAN PENYELESAIAN PERSELISIHAN

    1. Persyaratan ini diatur oleh hukum negara [Singapura].
    2. Setiap perselisihan yang timbul dari atau sehubungan dengan Persyaratan ini, termasuk pertanyaan mengenai keberadaan, keabsahan, atau penghentiannya, harus dirujuk dan diselesaikan dengan jalur arbitrase yang dikelola oleh Pusat Arbitrase Internasional Singapura (Singapore International Arbitration Centre (SIAC) sesuai dengan Peraturan Arbitrase Pusat Arbitrase Internasional Singapura (Peraturan SIAC) yang berlaku saat ini, di mana Peraturan SIAC tersebut dianggap telah tercakup berdasarkan referensi dalam pasal 11.2 ini.
      Tempat pelaksanaan arbitrase adalah negara Singapura.
      Pengadilan arbitrase wajib dipimpin oleh satu orang arbiter.
      Bahasa yang digunakan dalam proses arbitrase adalah Bahasa Inggris.

OMRON connect Cloud Terms of Use

These terms of use (Terms) create a binding legal agreement between you (End-user or you) and Omron Healthcare Singapore Pte Ltd (Company, us or we) regarding the use of the OMRON connect Cloud service. In addition to these Terms, your use of the Service (as defined in clause 1 below) is also subject to the OMRON connect software End-User Licence Agreement (EULA) (available at: http://www.omronconnect.com/eula/).

Your use of the Service is subject to compliance with these Terms and any applicable terms or policies of the app store provider (including without limitation, Apple App Store and Google Play).

It is important that you read and understand these Terms before clicking “I Agree”. By clicking the “I Agree” button below, you agree to the terms and conditions set out in these Terms and to be bound by them in consideration of your use of the Service. If you do not agree to these Terms, please click the “I Disagree” button below and discontinue your use of the Service.

  1. DEFINITIONS

    1. “Account Information” means the login ID, the token for authenticating the ID, the e-mail address, and the password, and any other information relating to your account set by you to use the Service.
    2. “App” means OMRON Connect, an application provided by us or a member of our company group.
    3. “Attribute Information” means your date of birth, age, gender, height, body weight, and any other attribute information which are provided by you.
    4. “Cookies” refers to the identification information that is sent from the web server when a browser accesses the website, and sent from the browser to the server during future access.
    5. “Customer Information” collectively refers to Attribute Information, Registered Device Information, Vital Data and Account Information, and any other information provided by you in connection with the Services.
    6. “Device” means a smart phone or a tablet device.
    7. “Referrer information” refers to the URL information of the website accessed by you immediately prior, which information is sent by the browser.
    8. “Registered Device Information” means: (i) information about the healthcare device from which Vital Data is transmitted to the App; or (ii) information entered in such device.
    9. “Service” means the OMRON connect Cloud service, which allows users, by using the App, to store Customer Information located in a Device (other than passwords) in servers managed by us or our service provider and to remotely access such Customer Information from the user’s Device.
    10. “Server-Stored Data” means such part of the Customer Information as stored in servers managed by us or our service provider.
    11. “Vital Data” means blood pressure, body weight and blood sugar values and other measurement data measured using the healthcare device mentioned in the preceding paragraph.
  2. ACKNOWLEDGEMENTS

    1. These Terms, including any modifications and/or amendments to it, set out the terms and conditions of use of the Service and govern all activities in connection with your use of the Service.
    2. We may amend these Terms at any time by notifying you of such amendments. The amended terms will be displayed when you next use the App and you may be required to read and agree to them to continue your use of the Service.
    3. You are responsible for supplying your own Device, the download and installation of the App and any ancillary services (such as an internet connection) at your cost. Your use of the Service requires transmission of data (including User History Information), which may incur communication charges from your internet or mobile service provider.
  3. HOLDING OF ACCOUNTS

    1. Only one account may be held per person. Accounts may not be shared or used by more than one person.
    2. If we determine in our discretion that you have breached, or are likely to breach, these Terms, we may suspend your use of the Service or delete your account without prior notice to you.
    3. We may, without prior notice to you, delete your account if it has not been accessed for more than one year.
    4. Your right to use the Service (including the right to view Server-Stored Data) will terminate upon the deletion of your account for any reason. If your account is deleted (including if you delete your own account by mistake), we will be unable to restore neither the deleted account nor the information.
    5. Your rights under these Terms (including the right to use your account) may not be assigned, transferred, leased to, or inherited by, any third party. Any actual or suspected breach of this clause may result in suspension of your use of the Service or the deletion of your account without prior notice to you.
  4. RESPONSIBILITY TO MANAGE ACCOUNTS AND PASSWORDS

    1. You must not share your account password with any other person. You will be solely responsible for the use and management of your account and password.
    2. We will not be responsible for any loss or damage incurred arising out of the unauthorised use of your account due to your breach of these Terms.
    3. If you become aware that your account or password has been stolen or otherwise used by a third party without your authorisation, you must immediately notify us and follow any instructions given by us in connection with your account.
    4. If you have forgotten your password, you should notify us and follow any instructions given by us to recover or reset your password.
  5. SUSPENSION AND DISCONTINUATION OF SERVICE

    1. We may suspend or discontinue all or part of the Service if we deem that any of the following events has occurred:
      1. if we become unable to provide the Service due to any failure of telecommunication equipment, any act of God, incident or other emergency or any other force majeure event;
      2. if it is necessary to conduct maintenance or construction work or other analogous event with respect to the servers or to any other device or equipment in connection with the provision of the Service;
      3. if any malfunction or failure occurs in any server or in any other device or equipment used in the provision of the Service; or
      4. if it is necessary to suspend the provision of all or part of the Service for operational or technical reasons.
  6. EXCLUSION OF LIABILITY

    1. To the maximum extent permitted by law, we exclude all liability for any loss or damage that may arise as a result of or in connection with:
      1. the suspension or discontinuation of the Service by us in accordance with these Terms; and
      2. any inability to access or use all or part of the Server-Stored Data due to the communication condition of your Device, due to any bugs contained in the App or the Service, or due to any other cause; and
      3. the loss of Customer Information that may arise in connection with your use of the Service. We may reproduce Server-Stored Data to the extent necessary for the maintenance or improvement of the Service; and
      4. deletion of all or part of the Server-Stored Data in accordance with these Terms; and
      5. malfunction or any other problems associated with your Device, or the use of any other third party services not operated by us.
    2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT ANY GUARANTEES, CONDITIONS OR WARRANTIES AS TO ITS ACCURACY, PERFORMANCE OR UNINTERRUPTED SERVICE. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY THE SERVICE, A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR DEVICES, COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT. FURTHERMORE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE, OTHER MEMBERS OF OUR GROUP OF COMPANIES AND THIRD PARTIES CONNECTED TO US HEREBY EXPRESSLY EXCLUDE:
      1. ALL GUARANTEES, CONDITIONS, WARRANTIES AND OTHER TERMS WHICH MIGHT OTHERWISE BE IMPLIED;
      2. ANY LIABILITY FOR ANY DIRECT, INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE INCURRED BY ANY USER IN CONNECTION WITH THE SERVICE OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR RESULTS OF THE USE OF THE SERVICE AND ANY MATERIALS POSTED ON IT, INCLUDING BUT NOT LIMITED TO:
        1. LOSS OF INCOME OR REVENUE;
        2. LOSS OF BUSINESS;
        3. BUSINESS INTERRUPTION;
        4. LOSS OF BUSINESS OPPORTUNITY;
        5. LOSS OF PROFIT OR CONTRACTS;
        6. LOSS OF ANTICIPATED SAVINGS;
        7. LOSS OF DATA;
        8. LOSS OF GOODWILL;
        9. WASTED MANAGEMENT OR OFFICE TIME;
        10. INJURY OR DEATH,
        WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
    3. In the event that the use of the Service involves a supply of goods or services to a consumer as defined under applicable and prevailing Indonesian laws, nothing contained in these Terms purports to exclude, restrict or modify any condition, guarantee, warranty or other obligation which is applicable to or is conferred on the Company pursuant to such laws, where to exclude, restrict or modify any such condition, warranty or other obligation is unlawful, in which case the Company’s liability will (in its sole discretion) be limited to supplying the Service again or paying the cost of having the Service supplied again.
    4. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD US AND MEMBERS OF OUR COMPANY GROUP HARMLESS FROM ANY LIABILITY, LOSS, CLAIM AND EXPENSE, INCLUDING REASONABLE ATTORNEY FEES AND EXPENSES, RELATED TO YOUR BREACH OF THESE TERMS, THE EULA OR YOUR USE OF THE SERVICE.
  7. DELETION OF SERVER-STORED DATA

    1. We may delete all or part of the Server-Stored Data in any of the following events:
      1. if you breach any provision of these Terms or the EULA;
      2. if the Service is discontinued in accordance with clause 5.1;
      3. if you have not accessed the Service for one year.
    2. It is your responsibility to regularly backup the Vital Data to avoid the loss of such data.
  8. DATA PROTECTION

    When providing the Service in accordance with these Terms, we may collect and store your personal data in accordance with the OMRON CONNECT PRIVACY STATEMENT, which forms an integral part of these Terms.

  9. LANGUAGE

    These Terms are executed in the English language and Bahasa Indonesia language. You hereby agree that the English language version of these Terms shall be controlling for all intents and purposes (including, for the avoidance of doubt, where there are any inconsistencies between the English language version and the Bahasa Indonesia language version/translation).

  10. GOVERNING LAW AND DISPUTE RESOLUTION

    1. These Terms are governed by the laws of [Singapore].
    2. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC Rules) for the time being in force, which SIAC Rules are deemed to be incorporated by reference in this clause 11.2.
      The seat of the arbitration shall be Singapore.
      The arbitral tribunal shall consist of one arbitrator.
      The language of the arbitration shall be English.
